What is a 1031 Exchange?
A 1031 Exchange is a tax deferral tool that enables sellers of qualifying real property to defer taxes on their transaction, including Capital Gains, Depreciation Recapture, and Net Investment Income Tax, provided they use the sale proceeds to acquire other qualifying real property. To qualify for a valid 1031 Exchange, multiple requirements must be met.
Through Section 1031 of the tax code, landowners of qualifying real estate are allowed to sell their business or investment property and shelter up to four types of tax on their gain from the sale. The sale proceeds must be used to obtain like-kind replacement property also held for business or investment use. The deferrable taxes include Capital Gains (Federal and State level), Depreciation Recapture, and Net Investment income tax.

What is the role of a Qualified Intermediary?

A Qualified Intermediary ensures compliance with IRC 1031 for a valid 1031 Exchange. This includes the following:
- Acquires relinquished property from the Exchanger and transfers it to the Buyer
- Ensures Exchanger is not in actual or constructive receipt of any of the funds from the sale of the relinquished property
- Acquires replacement property from the Seller and transfers it to the Exchanger
- Structures the exchange per IRC 1031
- Prepares all related documentation
- Monitors and instructs the Exchanger of action to ensure compliance is maintained throughout the exchange
